Simplybooks LLC-FZ ("Simplybooks", "we", "us", "our") is a cloud accounting and financial advisory firm licensed under Meydan Free Zone, Dubai, UAE (Licence No. 2649062.01). These Terms govern your use of our website at simplybooks.ae and any services we provide to you.

2. Website Use

Our website and all content on it (including free tools, calculators, guides, and articles) are provided for general information purposes only. While we take care to ensure accuracy, the content does not constitute professional accounting, tax, or legal advice.

You agree not to:

• Use our website for any unlawful purpose
• Attempt to gain unauthorised access to any part of our website or systems

4. Professional Services

Accounting, VAT, Corporate Tax, and advisory services provided by Simplybooks are governed by a separate Engagement Letter issued to each client. The Engagement Letter sets out the specific scope of services, fees, responsibilities, and terms applicable to your engagement.

In the event of any conflict between these Terms of Service and a signed Engagement Letter, the Engagement Letter shall prevail.

5. Fees and Payment

Our service fees are agreed in writing in your Engagement Letter prior to commencement of work. Unless otherwise stated:

• Monthly retainer fees are payable in advance on the first day of each month
• Annual retainer fees are payable upfront at the start of the engagement
• All fees are quoted exclusive of UAE VAT (5%), which will be added to your invoice
• Late payment may result in suspension of services

Payment is to be made to Simplybooks LLC-FZ via bank transfer to our HSBC UAE account, details of which are provided on your invoice.

6. Client Responsibilities

To enable us to provide our services effectively, you agree to:

• Provide accurate, complete, and timely information and documentation as requested
• Inform us promptly of any changes to your business, activities, or financial position that may affect your compliance obligations
• Review and approve all filings, returns, and reports before submission where your approval is required
• Maintain your own records in accordance with UAE legal requirements
• Cooperate with any FTA audit or regulatory enquiry

Simplybooks accepts no liability for errors or penalties arising from inaccurate or incomplete information provided by you.

7. Confidentiality

Both parties agree to keep confidential all information received from the other party in connection with the engagement. We will not disclose your financial or business information to any third party except as required by law, regulatory obligation, or with your written consent.

8. Intellectual Property

All content on our website — including text, tools, calculators, graphics, and branding — is the intellectual property of Simplybooks LLC-FZ and is protected by applicable UAE and international intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission.

9. Limitation of Liability

To the maximum extent permitted by UAE law, Simplybooks shall not be liable for:

• Any indirect, consequential, or incidental loss arising from use of our website or services
• Penalties, fines, or assessments imposed by the FTA or other regulatory bodies as a result of inaccurate information provided by the client
• Losses arising from delays caused by the client's failure to provide required information on time
• Any reliance on the outputs of our free online tools

Our total liability to you in connection with any engagement shall not exceed the total fees paid by you to us in the 12 months preceding the claim.

10. Termination

Either party may terminate an engagement by providing written notice in accordance with the terms set out in the Engagement Letter. Upon termination:

• All outstanding fees become immediately payable
• We will provide a handover of your accounting records in an agreed format
• Confidentiality obligations survive termination

11. Governing Law

These Terms of Service are governed by the laws of the UAE. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

12. Changes to These Terms

We may update these Terms of Service from time to time. Material changes will be communicated to active clients by email. Continued use of our website or services after changes take effect constitutes acceptance of the updated terms.
